   Connections Academy facilitates learning through the use of various software, hardware and educational resources accessed through the secure user-authorized password protected web-based Learning Management System ("LMS") which are owned by Connections Academy or third party content partners who have contracted with Connections Academy.

   All individuals including the Parent and Learning Coach using the Connections Academy website and/or the LMS ("Users") are fully responsible for their own use of the website and LMS and ensuring such use does not infringe on anyone's proprietary rights including, but not limited to copyright, trademark and privacy rights. Where the User is a minor, their Parent shall be responsible for their Child(ren) and ensuring they adhere to the provisions in this Legal Notice. Users shall abide by all notices, restrictions and information in any Content accessed through the website. Users shall ensure that they do not remove, obscure or alter the Content in any way and do not make it available to third parties through other forms. Users cannot modify, publish, participate in the transfer or sale of, distribute, sub-license, rent, reproduce, create derivative works from, copy, reproduce, display or in any way exploit any of the Content accessed through the website, in whole or in part without the prior written consent from Connections Academy. For permission to use the Connections Academy name or logo contact to request a copy of the Connections Academy Trademark Agreement. Any use of any Connections Academy trademarks without the express written consent of Connections Academy and any use of the Connections Academy name or logo without entering into a Trademark Agreement is strictly prohibited. Elements of this website are protected by trade dress and other laws, and this website and its contents may not be copied in any way without the express written consent of Connections Academy.

5. Warranty and Other Disclaimers

   The website and LMS, including all content, functions, materials and information made available on or accessed through the website or LMS are provided on an "as is" basis, without warranties of any kind, either express or implied, including without limitation, warranties of title or implied warranties of merchantability, fitness for a particular purpose, or non-infringement with respect to the content on the website or the functions, materials, or information made accessible by the website or LMS. 6. Limitation of Liability

   UNDER NO CIRCUMSTANCES SHALL CONNECTIONS ACADEMY BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE WEBSITE AND/OR LMS. THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF CONNECTIONS ACADEMY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, CONNECTION ACADEMY'S LIABILITY IN SUCH JURISDICTIONS SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.

Connections Academy reserves the right, at it own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Connections Academy in asserting any available defenses.

8. Governing Law, Choice of Law and Forum

   The use of the website and/or LMS shall be governed by and construed in accordance with the laws of the State of Maryland, excluding its conflicts of law rules. You expressly agree that the exclusive jurisdiction for any claim or action arising out of or relating to your use of the website and/or LMS shall be filed only in the state or federal courts located in the State of Maryland, and you further agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action.
